GENERAL TERMS, CONDITIONS, AND TRADE PRACTICES
ACCEPTANCE OF TERMS AND CONDITIONS
By accessing this site, the customer agrees to accept the Terms and Conditions spelled out below. St. Louis Tag Co., Inc. has the right to modify or update this site and these Terms of Use at any time with or without notice. The customer's continued use of this site constitutes an agreement bound by any updates or modifications. St. Louis Tag Co. encourages you to frequently review these policies.
QUOTATIONS
All quotations are valid for 30 days, though prices are subject to change should the original quotation be modified. Quotations are subject to review upon receipt of order, artwork, or samples. Quotations not accepted within 30 days are subject to review. All prices are based on material costs and availability at the time of the quotation. Freight charges are in addition to the quoted price unless otherwise noted. Split shipments are an additional charge.
CONFIRMATION
St. Louis Tag Co. will confirm all orders and artwork proofs back to the customer within approximately 48 hours after receipt of orders. It is the customer's responsibility to verify that an order has been received. St. Louis Tag Co. has no liability to the customer in the event that an order claimed to be placed by the customer was not received.
PRE-PRESS PROOFS
Pre-press proofs shall be submitted to the customer for approval before being printed. Corrections must be made on the "master set" and returned at the customer’s expense. Proofs should be marked "O.K." or "O.K., with Corrections" and signed by customer. If revised proofs are desired, request must be made when proofs are returned. St. Louis Tag Co. cannot be held responsible for errors under either or both of the following conditions: if the customer has failed to return proofs with indications of changes, or if the customer has instructed St. Louis Tag Co. to proceed without permission of proofs.
PRESS PROOFS
Unless specified in customer's quotation, press proofs will not be supplied. If customer requires a press proof, it will be charged at current rates. An inspection sheet of any form can be submitted for customer approval – at no charge – provided the customer is available at the press during the time of make-ready. Lost press time due to customer delay or customer changes and corrections will be charged at current rates.
ARTWORK FILES
All items are the property of the party that supplies them. If St. Louis Tag Co. supplies items, they remain St. Louis Tag Co.'s property and cannot be transferred, unless otherwise agreed upon. Conversely, if items are supplied by the customer, they remain the customer’s property and liability. St. Louis Tag Co. is not required to do, nor liable for, anything more than faithfully reproducing products from the supplied materials. St. Louis Tag Co.'s pre-press department checks most furnished artwork files before printing, but the customer is still 100% responsible for the accuracy of print-ready artwork files. St. Louis Tag Co. encourages the customer to proofread all files carefully before submission. St. Louis Tag Co. has file preparation guidelines and product templates to assist customer in creating print-ready files and also offers file preparation support services to customers. The customer agrees not to upload or submit any material that could give rise to any civil or criminal liability under applicable law and any material that could infringe on the rights of privacy, publicity, copyrights or other intellectual property rights without the permission of the owner of these rights and the persons who are shown in the material if applicable.
CONDITION OF COPY
Upon receipt of original copy or manuscript, should it be evident that the condition of the copy differs from that which had been originally described and consequently quoted, the original quotation shall be rendered void and a new quotation issued.
PANTONE MATCHING SYSTEM
The Pantone Matching System (PMS) lets you use an ink color common to the printing industry. Please note, however, that computer monitors and printers can vary in color so what you are viewing on a computer screen will not show you an accurate PMS color. To make sure you receive your desired color, please consult a PMS color swatch book, available through a print shop or graphic artist. Please note that our inks are not fade-resistant when exposed to sunlight.
FURNISHED TAGS AND/OR PAPER STOCK FURNISHED BY CUSTOMER
If the customer desires to furnish paper stock or any other material, it must be, first of all, completely satisfactory to St. Louis Tag Co. and the customer must acknowledge this at time of bid. St. Louis Tag Co. must be informed of the manufacture of the material, the method of delivery, and the dates of delivery. Material supplied must be of a quality that St. Louis Tag Co. considers acceptable. In addition to this, any costs due to delays because of production problems on press, tag finishing equipment, or bindery, etc., attributable to material supplied will be chargeable on a cost plus basis to the customer with the addition of profit in that particular area. St. Louis Tag Co. will not be responsible for waste incurred in the use of stock furnished by the customer.
NUMBERING
The statement of type, location and style of numbering will be clearly spelled out on the quotation request by the customer and confirmed by St. Louis Tag Co. on its bid. It is understood that there is no responsibility for the make-up of missing numbers, unless clearly stated in the quotation, accepted by the customer, placed in St. Louis Tag Co.'s bid, and clearly stated in the purchase order.
ALTERATIONS
Alterations represent work performed in addition to the original specification. Such additional work may be charged at current rates and will be supported with documentation upon request.
OVER-RUNS AND UNDER-RUNS
Over-runs or under-runs not to exceed 10% on quantities ordered, or the percentage agreed upon, shall constitute acceptable delivery. The customer will be billed for actual quantity delivered within this tolerance. In the case of a shortage discovered by the customer, the customer will be entitled to a credit for any verified shortage.
SAMPLES
St. Louis Tag Co. reserves the right to distribute and post samples of the customer's product unless otherwise agreed upon by both parties.
PERFORMANCE OF THE PRODUCT
The customer shall not expect or hold responsible St. Louis Tag Co. for the running qualities of its manufactured products, including blank tags, printed tags, wired tags, pre-strung tags, multi-part tags, etc. unless the following factors have been met:
(a) The machine that is using the tag and related has been clearly spelled out in the quotation request of the bid and the purchase order.
(b) The machine that the tag and related is running on is in top condition and not in need of repair that would make the production malfunction.
SATISFACTION GUARANTEE
St. Louis Tag Co. stands behind its products and production process. If customer is not completely satisfied with the final product, St. Louis Tag Co. will reprint the order in accordance with the customer’s original specifications, provided St. Louis Tag Co. is notified within fifteen (15) days after delivery of all or any part of the order.
PRODUCTION SCHEDULES
Production begins once St. Louis Tag Co. confirms the customer's order and receives the customer's final proof approval. Turnaround time varies with each order and will be estimated and adhered to contingent upon delays due to carrier or supplier delays, wars, strikes, fires, floods, accidents, government decree (foreign or domestic), energy failure, equipment breakdown, acts of God or any other causes beyond the control of the customer or St. Louis Tag Co. Typical delivery times range from 10-15 work days (Monday-Friday) after St. Louis Tag Co. receives the customer’s final artwork approval for custom printed orders.
PAYMENT TERMS
Payment may be made by check, major credit cards, debit cards, ACH, COD (cash-on-delivery), or CIA (cash-in-advance). St. Louis Tag Co. does not charge credit or debit cards until after product has been shipped. Customers may also submit a credit application to apply for consideration of NET 30 TERMS, 0 (zero) discounts allowed. Upon extension of credit, payment terms are net 30 – no cash discounts. Interest accrues on balances over 30 days old at the rate of one and one-half percent (1½%) per month. Accounts over 50 days old will be subject to a credit review regarding payment terms. A $40 fee will be charged for each check returned by the bank as insufficient funds. St. Louis Tag Co. will be entitled to recover reasonable collection and attorney's fees should the account be turned over for collection due to non-payment. You may fill out our CREDIT APPLICATION for Net 30 terms consideration.
STATE TAXES
The amount of any present or future Federal, State, or local taxes required to be collected or paid by St. Louis Tag Co. shall be added to the merchandise’s price and paid by the customer. In Missouri taxes shall be charged and collected until an appropriate certificate of exemption is presented to St. Louis Tag Co.
STATE TAX EXEMPTION
Please note that the final price may not be your final total. An account is billed taxes according to the installation address of the account and the current tax status information on file. St. Louis Tag Co. requires that a valid, SIGNED tax exemption certificate be on file with our tax department prior to changing the exemption status. If you are tax exempt, please fax a fully executed and signed copy of your state’s tax exemption certificate form to: (314) 645.0854. Once your certificate has been received and validated, St. Louis Tag Co. will update your tax status accordingly.
DELIVERY
St. Louis Tag Co. ships all jobs using various freight carriers. All proposals, based upon a series of shipments at one time or series of shipments throughout a given period of time, and requiring or not requiring storage, shall be specifically stated in the quotation request, confirmed in the bid, and stipulated in the purchase order. Unless otherwise specified, the price quoted is for a single shipment without storage and is F.O.B. St. Louis Tag Co.'s loading dock. Title and risk of loss for product passes to customer upon shipment. St. Louis Tag Co. is not responsible for delays in delivery due to shortages of material, carrier delays, wars, strikes, fires, floods, accidents, government decree (foreign or domestic), acts of God, or other contingencies beyond St. Louis Tag Co.’s control.
STORAGE
In the event that storage takes place, under no circumstances, unless previously agreed to otherwise, will storage be required for more than two (2) weeks. Liability for damage to forms in storage will be assumed by an insurance policy covering the items stored. At the end of the two (2) week period all forms are to be shipped and, if not paid for, to be paid at that time. If storage is to continue from that time forward, as the property of the customer, it will be done on the basis of a cost plus profit to St. Louis Tag Co. of yielding a monthly storage charge. Taxes incurred as a result of storage will be paid by St. Louis Tag Co. but will be part of the cost of the forms to the customer.
RETURNS, REFUNDS, AND CLAIMS
Because each and every order is custom-manufactured to your specifications, St. Louis Tag Co. cannot issue any refunds or take products back after they have been shipped. If the customer is not satisfied with the end product upon receipt, St. Louis Tag Co. will make every effort to fix the order until the customer is 100% satisfied at no additional cost to the customer. Claims for defects, damages or shortages must be made by the customer in writing within a period of fifteen (15) days after delivery of all or any part of the order. Failure to make such a claim within the stated period shall constitute irrevocable acceptance and an admission that the customer fully complies with the terms, conditions, and specifications. St. Louis Tag Co. will not be held liable for any costs for customer down time, programming time, processing time, or other consequential damages, including profits (or profits lost). St. Louis Tag Co.'s liability is only limited to cost of replacement of the product and normal freight charges.
CANCELLATION POLICY
Orders cannot be cancelled, except upon terms that will compensate St. Louis Tag Co. against loss. All work done to the date of cancellation is billable to the customer with a normal profit.
THE RIGHT TO REJECT AN ORDER
St. Louis Tag Co. reserves the right to reject an order that is not acceptable and/or if material as quoted is not available at the estimated price and delivery time when the order is placed. The order must be a duplicate of the quotation and must be entered within a period of 30 days of the date of quotation.
THIRD PARTIES
St. Louis Tag Co.'s Website contains links to other sites owned and operated by other parties.
The customer acknowledges that St. Louis Tag Co. has no responsibility for contents and policies of third party sites.
INDEMNIFICATION
Customer agrees to defend, indemnify, and hold harmless St. Louis Tag Co. and its affiliates against any and all claims, demands, damages, actions, or costs and expenses, including reasonable attorney'’s fees, alleging or resulting from customer's use of the Website, violation of these terms, or infringement of intellectual property. Customer also certifies that customer has the legal right to use images St. Louis Tag Co. reproduces for customer’s order.
GOVERNING LAW
By using this site, customer agrees that all the laws of the State of Missouri, with the exception of the state’s conflict of laws principles, govern these Terms and Conditions in addition to any potential conflicts.
LIMITATIONS OF LIABILITY
IN NO EVENT SHALL ST. LOUIS TAG CO. OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, LICENSORS, SUPPLIERS, VENDORS, DISTRIBUTORS, OR AGENTS BE LIABLE TO CUSTOMER FOR ANY DAMAGES ARISING FROM USING THIS SITE, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL DAMAGES, LOSS OF BUSINESS, LOSS OF PROFITS OR OTHERWISE AS A RESULT OF MISTAKES, INACCURACIES, OMISSIONS, VIRUSES, DELAYS, INTERRUPTION OF SERVICE, DEFECTS, PERFORMANCE FAILURE, PERSONAL INJURY OR PROPERTY DAMAGE, WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY.

ST. LOUIS TAG CO. DOES NOT GUARANTEE WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR OTHERWISE.
